1. Acceptance of Terms

By downloading, installing, or using Marketdesk AI (“the App”), you agree to be bound by these Terms of Use (“Terms”). These Terms constitute a legally binding agreement between you and My India Now Technologies (“we”, “us”, “our”). If you do not agree to these Terms, do not use the App.

We reserve the right to update or modify these Terms at any time. We will notify users of material changes via in-app notification or email. Your continued use of the App after any changes constitutes acceptance of the updated Terms.

2. Description of Service

Marketdesk AI is an AI-powered market intelligence platform. Features include: real-time market data, AI chat analysis, trading signals, portfolio tracking, stock screener, price alerts, crypto heatmaps, FII/DII data, superinvestor tracking, mutual fund analytics, economic calendar, IPO calendar, and earnings calendar.

The App is available on iOS (App Store) and Android (Google Play) and is offered in Free and Pro (paid subscription) tiers.

3. Eligibility

You must be at least 18 years old to use this App. By using the App, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not use the App under any circumstances.

4. Account Registration & Security

• You may create an account using Google Sign-In, Apple Sign-In, or email/password registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• One account per individual is permitted.
• You must notify us immediately of any unauthorized use of your account at support@marketdeskai.com.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Terms

Marketdesk AI offers the following auto-renewable subscription plans:

• Monthly Plan: $9.99/month
• Annual Plan: $79.99/year

Payment will be charged to your Apple ID or Google Play account at the confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current subscription period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price. You can manage and cancel your subscriptions by going to your account settings on the App Store or Google Play Store after purchase. All prices are subject to change without notice.

Additional subscription terms:

• Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current subscription period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the rate of the selected plan.
• You can manage and cancel your subscriptions by going to your Account Settings on the App Store or Google Play Store after purchase.
• No refund will be provided for any unused portion of a subscription period.
• Prices are subject to change; we will provide notice of any price changes before they take effect. Price changes will take effect at the start of the next subscription period following the date of the price change.

6. Acceptable Use

You agree NOT to:

• Use the App for any illegal or unauthorized purpose.
• Attempt to reverse-engineer, decompile, or disassemble any part of the App.
• Redistribute, resell, or share trading signals without express written permission.
• Use automated bots, scrapers, or crawlers to extract data from the App.
• Share your Pro subscription account credentials with others.
• Interfere with or disrupt the App's servers or networks.
• Upload malicious code or attempt to gain unauthorized access to our systems.
• Use the App to harass, abuse, or harm other users.
• Impersonate any person or entity.
• Use the App in any way that could damage our reputation or business.
• Use AI-generated trading signals, analysis, or data to engage in market manipulation, pump-and-dump schemes, or any other form of securities fraud.
• Redistribute, republish, or commercially exploit AI-generated trading signals or analysis through any channel (social media, newsletters, competing apps, etc.) without express written permission.
• Use automated tools or scripts to systematically scrape, download, or extract trading signals, market data, or AI analysis from the App.
• Use the App's data, signals, or AI output to build, train, or improve a competing product or service.
• Present AI-generated signals or analysis as your own professional financial advice to third parties.

7. Intellectual Property

All content, features, design, code, AI models, trading signals, analysis reports, and data compilations within Marketdesk AI are owned by or licensed to My India Now Technologies. The Marketdesk AI name, logo, and branding are trademarks of My India Now Technologies.

Users may not reproduce, distribute, modify, or create derivative works from any App content without express written permission. User-generated content (portfolios, watchlists, chat messages) remains the user's property, but we are granted a license to use it to provide the service.

9. Limitation of Liability

The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of any market data, signals, or analysis.

In no event shall My India Now Technologies be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claims arising from your use of the App shall not exceed the amount you paid for the subscription in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

10. Account Termination & Deletion

• We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
• You may delete your account at any time from Settings → Profile → Delete Account.
• Upon account deletion, ALL your personal data will be permanently and irreversibly removed, including: profile information, portfolios, watchlists, AI chat history, alert configurations, and all preferences.
• If you have an active subscription, cancelling your account does not automatically cancel your subscription — please cancel your subscription from App Store / Play Store settings before deleting your account.
• We are not obligated to maintain or provide any data after account deletion.

11. Indemnification

You agree to indemnify, defend, and hold harmless My India Now Technologies, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law & Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

30-Day Informal Negotiation: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@marketdeskai.com. Both parties agree to negotiate in good faith for a period of at least 30 days from the date the dispute notice is received.

Binding Arbitration: If a dispute cannot be resolved through informal negotiation within 30 days, either party may initiate binding arbitration under the Indian Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, in Pune, Maharashtra, India. The language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Exceptions to Arbitration: Notwithstanding the above, either party may seek injunctive or other equitable relief in the courts of Pune, Maharashtra, India for matters involving intellectual property infringement, data privacy violations, or unauthorized access to the App's systems.

Any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

13. Severability

If any provision of these Terms of Use is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and My India Now Technologies regarding your use of Marketdesk AI. They supersede any prior agreements or understandings.

Marketdesk AI subscriptions are managed through Apple App Store and Google Play Store. Our refund policy is as follows:

Eligibility for Refund

• Refund requests must be submitted within 48 hours of the initial purchase or renewal date.
• Refunds are processed exclusively through Apple App Store or Google Play Store — we do not process refunds directly.
• Technical issues that prevent access to paid features may qualify for a refund if we are unable to resolve the issue within a reasonable timeframe.

How to Request a Refund

• Apple App Store: Visit reportaproblem.apple.com or contact Apple Support directly.
• Google Play Store: Open the Google Play app → Menu → Account → Order History → select the subscription → Request a Refund. Alternatively, visit Google Play Order History.
• Contact Us: You may also email support@marketdeskai.com for assistance, and we will guide you through the appropriate store's refund process.

Exclusions

• No refunds for partial subscription periods after the 48-hour window.
• No refunds based on dissatisfaction with AI-generated trading signals, market analysis, or investment outcomes — all AI features are provided for informational purposes only with no guarantees of accuracy or profitability.
• No refunds for unused features if you chose not to use them during your subscription period.
• Free trial conversions: If you do not cancel before the trial period ends, you will be charged and standard refund policies apply.

17. Cancellation Instructions

You may cancel your Marketdesk AI Pro subscription at any time. Cancellation prevents future charges but does not provide a refund for the current billing period. Your Pro features remain active until the end of the current paid period.

Cancel on iOS (iPhone/iPad)

1. Open the Settings app on your device.
2. Tap your Apple ID (your name at the top).
3. Tap Subscriptions.
4. Find and tap Marketdesk AI.
5. Tap Cancel Subscription and confirm.

Cancel on Android

1. Open the Google Play Store app.
2. Tap your profile icon (top right).
3. Tap Payments & subscriptions → Subscriptions.
4. Find and tap Marketdesk AI.
5. Tap Cancel subscription and follow the prompts.

After Cancellation

• Your Pro features remain active until the end of your current billing period.
• After your subscription expires, your account will revert to the Free tier.
• Your data (portfolios, watchlists, chat history) will be preserved and accessible under the Free tier limitations.
• You can re-subscribe at any time from the App's Upgrade screen.

18. Mobile Application License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Marketdesk AI mobile application on a device that you own or control, solely for your personal, non-commercial use.

• Device Limits: You may install the App on multiple personal devices, but your account may only be actively used on one device at a time.
• License Restrictions: You may not: (a) copy, modify, or create derivative works of the App; (b) reverse-engineer, decompile, or disassemble the App; (c) remove any proprietary notices from the App; (d) transfer, sublicense, or assign the license to any third party.
• Third-Party Beneficiaries: Apple Inc. and Google LLC are third-party beneficiaries of these Terms as they relate to your use of the App on their respective platforms. They have the right to enforce these Terms against you as a third-party beneficiary.
• Export Compliance: You represent that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Maintenance & Support: We are solely responsible for providing maintenance and support for the App. Apple and Google have no obligation to provide any maintenance or support services for the App.
• Warranty: The App is provided “AS IS” without warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google and they may refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple and Google have no other warranty obligation with respect to the App.

19. User Representations

By using Marketdesk AI, you represent and warrant that:

• All registration information you submit is truthful, accurate, current, and complete, and you will maintain the accuracy of such information.
• You are at least 18 years of age and have the legal capacity to enter into these Terms.
• You will not access the App through automated or non-human means (bots, scrapers, etc.).
• You will not use the App for any illegal or unauthorized purpose or in violation of any applicable local, state, national, or international law.
• You understand and acknowledge that trading and investing in financial markets involves SUBSTANTIAL RISK OF LOSS, including the potential loss of your entire invested capital.
• You acknowledge that AI-generated trading signals and analysis are for informational purposes only and do not constitute professional financial advice.
• You will NOT hold My India Now Technologies, its officers, directors, employees, or affiliates liable for any financial losses resulting from your trading or investment decisions, regardless of whether those decisions were informed by content provided through the App.
• You have consulted or will consult with a qualified financial advisor regarding your specific financial situation before making investment decisions.

20. Third-Party Websites and Content

The App may contain links to third-party websites, services, or content that are not owned or controlled by My India Now Technologies. This includes but is not limited to:

• Market data sourced from Financial Modeling Prep, CoinGecko, Binance, and other providers.
• News articles and content from third-party publishers.
• Links to Apple App Store and Google Play Store for subscription management.
• External web pages opened through the in-app browser.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any third-party entities or individuals. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any third-party content, goods, or services available through the App.

21. Services Management

We reserve the right, but not the obligation, to:

• Monitor the App for violations of these Terms.
• Take appropriate legal action against anyone who violates these Terms, including reporting to law enforcement authorities.
• In our sole discretion, refuse, restrict access to, limit availability of, or disable any user's access to the App or any portion thereof.
• Remove or restrict content or accounts that we determine are objectionable, harmful, or in violation of these Terms, without notice and at our sole discretion.
• Manage the App in a manner designed to protect our rights and property and to facilitate the proper functioning of the App.

22. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the App without notice at any time.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.

We cannot guarantee the App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the App at any time without notice to you. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the App during any downtime or discontinuance of the App.

23. Corrections

There may be information on the App that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.

24. User Data

We will maintain certain data that you transmit to the App for the purpose of managing the performance of the App, as well as data relating to your use of the App. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the App.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption. You are encouraged to maintain your own backups of important financial records and not rely solely on the App for data storage.
